1. Who We Are and Acceptance of These Terms

These Terms & Conditions ("Terms") are a contract between you and Editly, LLC, 3200 Kirkwood Highway #1061, Wilmington, DE 19808, USA ("Editly", "we", "us"). They govern your use of the Editly platform, including our website at editly.ai, the customer application at app.editly.ai, our API at api.editly.ai, and related editing services (collectively, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service. If you have questions, contact us at legal@editly.ai.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you confirm that you meet this requirement. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

3. Your Account

To use most features, you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your password and API keys and for all activity that occurs under your account. Notify us promptly at legal@editly.ai if you suspect unauthorized use of your account.

4. Description of the Service

Editly provides three service modes:

  • AI Mode — AI-powered text processing, including correcting, editing, rewriting, translating, and humanizing text. "Humanizing" means improving tone, clarity, readability, and naturalness of wording; it is not intended to help users misrepresent authorship or violate academic, professional, or publication rules.
  • Human Mode — proofreading and rewriting of your documents by professional human editors, priced per word.
  • Expert Mode — editing by a specific, approved expert editor whom you select, at prices set by that expert.

5. AI Mode: Subscriptions and Tokens

AI Mode is governed by your subscription plan. Each plan includes a monthly token allowance, a daily request cap, and a per-request size limit:

Rewriting offers six styles, and translation supports 20 languages. Token usage per request is estimated from text length at approximately 1.3 tokens per word unless the app or API documentation displays a different calculation. Token deductions may be rounded up to the nearest whole token and may include a minimum charge per request. Plan tokens reset at the start of each billing cycle, do not carry over, and are non-transferable.

Top-up packs. Go, Pro, and Max subscribers can purchase one-off token packs: $5 for 2,000 tokens, $10 for 4,000 tokens, $25 for 12,500 tokens, and $50 for 28,000 tokens. Unlike plan tokens, unused top-up tokens carry over across billing cycles while your account remains active. Consumed tokens are not refundable. Unused top-up tokens are handled as described in Sections 10 and 19 if you cancel, delete your account, or if Editly terminates your account.

AI processing. Text you submit in AI Mode is processed through our service by Google Cloud, which processes the text through Gemini for the sole purpose of generating your result. Under the applicable Google Cloud terms and data-processing commitments for this API processing, Google Cloud is not permitted to use submitted API content to train its foundation models. AI output is generated automatically and is provided on an "as-is" basis. You are responsible for reviewing output for accuracy, legality, originality, academic or professional compliance, and suitability before relying on it. For details, see our Privacy Policy.

6. Human Mode: Editing by Professional Editors

In Human Mode, professional editors proofread or rewrite your documents in Google Docs. Your documents are stored in Google Drive for this purpose, and the assigned editor receives access only for the duration of the assignment. All editors work under non-disclosure or confidentiality agreements.

Pricing depends on word count, service type, and urgency:

The order lifecycle works as follows:

  • You may cancel an order free of charge within 20 minutes of placing it; the payment is refunded automatically.
  • After delivery, you have 72 hours to approve the work or request a re-edit. You are entitled to up to three (3) free re-edits for the same original order. Free re-edits must relate to the original instructions and submitted document and do not include new assignments, new source materials, new goals, or substantial new instructions unless Editly agrees otherwise.
  • Each re-edit request must be submitted through the order workflow or support channel within the applicable review period. Editly may treat a request as a new order if it materially changes the original scope.
  • If you take no action within 72 hours of delivery, the order is approved automatically. A reminder is sent before auto-approval. Auto-approval ends the ordinary free re-edit review window, but it does not limit rights that cannot be waived under applicable law or any refund rights expressly granted under these Terms.

7. Expert Mode

In Expert Mode, you select a specific approved expert editor. Experts set their own per-word prices, which are shown to you before you order. Expert Mode orders are paid with Ledger Credits only. You can purchase Ledger Credits through the payment workflow before placing an Expert Mode order, subject to the payment and credit rules in Section 9. Apart from pricing, editor selection, and credit-only payment, Expert Mode orders follow the same lifecycle, re-edit, and refund rules as Human Mode.

8. Editor Applications

If you apply to work as an editor via our application form, you will be asked to submit your name, email address, country, phone number, languages, years of experience, a CV file, and a motivation letter. Applications are reviewed by our team. Approved applicants receive an email invitation that is valid for 7 days. Submitting an application does not create an employment or contractor relationship; that is governed by a separate agreement if you are approved.

9. Payments, Billing, and Credits

Payment processing. Payments are processed by Stripe. We do not store your card numbers; we store only Stripe customer identifiers and payment references. Invoices and receipts are issued via Stripe. All prices are in US Dollars unless otherwise stated.

Subscriptions. AI Mode subscriptions renew automatically each month until canceled. You can cancel at any time in the app; cancellation takes effect at the end of the current billing cycle, and you keep access to your plan until then. We may change plan prices with advance notice; changes apply from your next billing cycle.

Ledger Credits. Human and Expert Mode orders can be paid with prepaid Ledger Credits, where 1 credit equals 1 US Dollar. Purchased credits are prepaid, non-transferable, and do not expire while your account remains active. Promotional, bonus, or courtesy credits may expire or be removed according to the promotion terms shown when they are issued. Credits are non-refundable except where a refund is required by law or provided under Section 10 or Section 19.

Refund method. When a refund is approved, card payments are generally refunded to the original payment method through Stripe, while orders paid with Ledger Credits may be refunded to the Ledger Credit balance unless applicable law requires another method or Editly agrees otherwise.

Taxes. Prices may be subject to applicable taxes, such as VAT or sales tax, depending on your location. Where required, taxes are shown at checkout and included on your Stripe invoice.

10. Cancellations, Refunds, and Withdrawal Rights

20-minute cancellation. You may cancel a Human or Expert Mode order within 20 minutes of placing it. The payment, whether a card charge or credits, is refunded automatically.

Money-back guarantee. If after three re-edits you are still not satisfied with the editing, a full or partial refund may be issued at the discretion of our lead editor after reviewing the work performed. This guarantee applies only to the original order scope and does not cover dissatisfaction caused by new instructions, changes in purpose, or requirements not provided with the original order.

AI tokens. Tokens that have been consumed by completed AI requests are non-refundable. Unused subscription time is not refunded when you cancel, but you retain access until the end of the paid cycle unless your account is terminated under these Terms.

EU/EEA and UK consumers. If you are a consumer in the EU, EEA, or UK, you generally have a 14-day right of withdrawal from distance contracts. For digital services or digital content that we begin performing immediately at your request, such as AI processing or an editing order that has been started, you may be asked at checkout to consent to immediate performance and acknowledge that you will lose the right of withdrawal once the service has been fully performed. This does not affect the 20-minute cancellation window, the money-back guarantee above, or any rights that cannot be waived under applicable law. This clause should be read subject to any mandatory consumer protections in your jurisdiction.

11. Acceptable Use

When using the Service, you agree not to:

  • submit content that is unlawful or that infringes intellectual property, privacy, or other rights of any person;
  • attempt to circumvent rate limits, token accounting, plan restrictions, or other technical controls;
  • scrape, harvest, or systematically extract data from the Service, or access it by automated means other than the documented API;
  • interfere with the operation or security of the Service, or probe or test it for vulnerabilities without our written permission;
  • share, resell, or misuse your account or API keys;
  • use the Service to misrepresent authorship, evade academic integrity rules, or violate the rules of a school, university, employer, publisher, or other institution.

Academic integrity. You are solely responsible for ensuring that your use of Editly's editing and AI tools complies with the rules of your school, university, employer, publisher, or other institution. Editly does not verify or certify compliance with any institutional policy, and a feature being available does not mean that a particular use is permitted by your institution.

12. Your Content and Ownership

You retain ownership of all content you submit to the Service and of the edited versions of your content. Editly does not claim ownership of your content. By submitting content, you grant Editly a limited, non-exclusive license to store, transmit, and process it solely as needed to provide the Service, including processing by our editors and AI service providers. This license ends when the content is deleted from active systems, subject to backups, logs, legal retention duties, security records, provider deletion schedules, and copies already processed by service providers or assigned editors in connection with the Service.

To the extent Editly holds any rights in AI-generated output produced from your input, we assign those rights to you. You are responsible for how you use the output, including verifying its accuracy, originality, legality, academic or professional compliance, and suitability for your purpose.

13. Confidentiality and Data Handling

Documents submitted through Editly are treated as confidential. Our editors sign confidentiality or non-disclosure agreements, and each editor is given access to a document only for the duration of the assignment.

We use a small number of service providers to operate the platform, including:

  • Stripe for payment processing;
  • Google Cloud for AI processing through Gemini, Google Drive/Docs storage used in human editing, Google reCAPTCHA protection for marketing-site forms, and Google Analytics where analytics is enabled with consent;
  • hosting, infrastructure, storage, monitoring, and transactional email providers in the EU and US.

We do not use advertising trackers or advertising cookies. Analytics, where used, is loaded only with consent where required. Our support chat is self-hosted on Editly infrastructure at support.editly.ai. Cookies in the app are limited to strictly necessary session and authentication cookies and your locale preference. You can delete your account in the app; deleting a document removes active copies from our storage and Google Drive, subject to backups, legal retention, and provider deletion schedules. 14. API Terms

API access is available on the Pro and Max plans. You create and manage your own API keys in the app. API keys are secrets: keep them confidential, do not embed them in public code, and rotate them if you suspect exposure. We may revoke keys that are compromised or misused.

API requests draw from the same token balance as in-app use, but cost 1.2 times the standard token amount per request unless the API documentation states otherwise. API token costs may be estimated before processing and reconciled or rounded up to the nearest whole token after processing. API usage is subject to your plan's daily request caps, per-request limits, technical and fair-use limits, and the acceptable-use rules in Section 11. Token usage and request logs may be displayed in the app or API dashboard where available.

15. Service Changes and Availability

We continuously improve the Service and may add, change, or remove features. We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free. Scheduled maintenance and factors outside our control, including outages of service providers, may temporarily affect availability. If we discontinue a paid feature you have already paid for, we will provide a pro-rated remedy, service credit, substitute feature, or refund where required by law or where we determine that a remedy is appropriate under the circumstances.

16. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Estimated delivery times for editing orders are approximations and are not guaranteed. AI output may contain errors and should be reviewed before use in important contexts. Nothing in this section limits warranties, consumer rights, withdrawal rights, or remedies that cannot be excluded under applicable law, and nothing in this section overrides any refund or re-edit commitment expressly provided in these Terms.

17. Limitation of Liability

To the fullest extent permitted by law, Editly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to Editly in the twelve (12) months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law, including for gross negligence, willful misconduct, or death or personal injury caused by negligence.

18. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Editly harmless from claims, damages, and reasonable costs, including legal fees, arising from content you submit, your breach of these Terms, or your violation of applicable law or third-party rights, except to the extent caused by our own breach or misconduct. This clause does not apply to consumers where it would be prohibited or unenforceable under applicable consumer protection law.

19. Termination

You may stop using the Service and delete your account at any time in the app. We may suspend or terminate your account if you materially breach these Terms, where reasonably necessary to protect the Service or other users, or where required by law. Where practicable, we will give you notice and a chance to remedy the breach first.

On termination, your access ends and unconsumed plan tokens lapse. If you delete your account voluntarily, pending orders, unused subscription tokens, unused top-up tokens, and Ledger Credits are handled according to the cancellation, refund, and credit rules in Sections 9 and 10, except where a refund is required by law. If we terminate your account without cause, we will refund your remaining purchased Ledger Credit balance and any unused purchased top-up token value. If we terminate for your material breach, credits and tokens may be forfeited to the extent permitted by law, but we will not forfeit purchased credits where doing so is prohibited by applicable law. Sections that by their nature should survive, including Sections 12, 13, 16, 17, 18, and 20, survive termination.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. If you are a consumer in a jurisdiction whose law grants you mandatory protections or a mandatory venue, nothing in this section deprives you of those rights. Before filing a claim, please contact us at legal@editly.ai — most issues can be resolved quickly and informally.

21. Severability and Changes to These Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. We may update these Terms from time to time. For material changes, we will give you advance notice by email or in the app before the changes take effect. If you do not agree, you may cancel your subscription and stop using the Service before that date. Pending orders already accepted and paid for will generally be completed under the terms in effect when the order was placed unless a change is required by law or needed for security. Purchased Ledger Credits and unused purchased top-up tokens remain subject to the credit and termination rules in these Terms unless applicable law requires different treatment.
